TO ALL TO WHOM THESE PRESENTS SHALL COME

G R E E T I N G

WHEREAS The Corporations Act provides that with the exceptions therein contained the Lieutenant Governor may in his discretion, by Letters Patent, issue a Charter to any number of persons, not fewer than three, of twenty-one or more years of age, who apply therefor, constituting them and any others who become shareholders or members of the corporation thereby created a corporation for any of the objects to which the authority of the Legislature extends;

AND WHEREAS BY THE SAID Act it is further provided that the Provincial Secretary may in his discretion and under the Seal of his office have, use, exercise and enjoy any power, right or authority conferred by the said Act on the Lieutenant Governor;

AND WHEREAS by their application in that behalf the persons herein named have applied for the issue of a Charter constituting them a corporation for the due carrying out of the undertaking hereinafter set forth;

AND WHERES it has been made to appear that the said persons have complied with the conditions precedent to the issue of the desired Charter and that the said undertaking is within the scope of the said Act;

AND WHEREAS by The Department of the Provincial Secretary and Citizenship Act, 1960-61 it is provided that the Provincial Secretary and Minister of Citizenship may exercise the powers that were conferred on the Provincial Secretary at the time the said Act came into force;

NOW THEREFORE KNOW YE that under the authority of the hereinbefore in part recited Acts I DO BY THESE LETTERS PATENT issue a Charter to the Persons hereinafter named that is to say:

Thomas Brown, School Teacher, and David Ewald Hartman, Gentleman, both of the Borough of East York, in the County of York and Province of Ontario, Ron Karpiak, of the Borough of Scarborough, in the said County of York, Computer Programmer, Morris Duff, Journalist, and Ernest Fred Frey, Gentleman, both of the Borough of North York, in the county of York, and Barbara Jean Kulcher, of the town of Dundas, in the County of Wentworth and Province of Ontario, Nurse, constituting them and any others who become members of the Corporation hereby created a corporation without share capital under the name of 

UNICAMP OF ONTARIO INCORPORATED

For the following objects, that is to say:

  1. To organise, operate and maintain camps with related services for Unitarian religious training of children and to provide, operate and maintain facilities for church and leadership conferences and seminars;
  1. Subject to The Charitable Gifts Act and The Mortmain and Charitable Uses Act, to solicit, receive, acquire and hold gifts, donations, legacies, devises and bequests;
  1. To give donations and gifts for charitable purposes; and
  1. To invest and deal with the moneys of the Corporation not immediately required for its objects in such manner as may be determined, provided that investments shall be limited to investments authorized by The Trustee Act;

THE HEAD OFFICE of the Corporation to be situate in The Municipality of Metropolitan Toronto, in the said County of York, and

THE FIRST DIRECTORS of the Corporation to be Thomas Brown, David Ewald Hartman, Ron Karpiak, Morris Duff, Barbara Jean Kulcher and Ernest Fred Frey, hereinbefore mentioned;

AND IT IS HEREBY ORDAINED AND DECLARED THAT the Corporation shall be carried on without the purpose of gain for its members and any profits or other accretions to the Corporation shall be used in promoting its objects;

AND IT IS HEREBY FURTHER ORDAINED AND DECLARED that, upon the dissolution of the Corporation and after the payment of all debts and liabilities, its remaining property shall be distributed or disposed of to charitable organizations which carry on their work solely in Canada;

AND IT IS HEREBY FURTHER ORDAINED AND DECLARED that the Directors shall serve as such without remuneration and no directors hall directly or indirectly receive any profit from his position as such, provided that a director may be paid reasonable expenses incurred by him in the performance of his duties.
